Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the akaBot platform (the “Service”). By using the Service, you agree to be bound by these Terms.
1. Service Description
The Service is a Software-as-a-Service platform to create, configure, and run AI agents, including integrations with external Large Language Models (“LLMs”) and AWS-hosted data services. The platform is multi-tenant: infrastructure is shared, and each tenant has a separate database/schema for isolation.
2. Eligibility & Accounts
The Service has no age restriction; however, you must have legal authority to enter these Terms on behalf of yourself or your organization. You are responsible for safeguarding account credentials and for all activities under your account.
3. Acceptable Use
You agree not to use the Service to:
- Engage in illegal activities or violate third-party rights.
- Distribute harmful, harassing, or abusive content, or spam.
- Introduce malware, attempt to bypass security, or disrupt operations.
4. User Content & Ownership
You retain ownership of the content and AI agents you create. You grant us a limited, non-exclusive, worldwide license to host, run, and process your content solely to operate and improve the Service, provide support, and meet legal obligations.
5. External LLMs & Outputs
- Prompts and outputs are not used to train external LLMs unless you opt into the training feature.
- You acknowledge that AI outputs may be inaccurate or inappropriate. You are responsible for evaluating and verifying outputs before reliance or downstream use.
6. Subscriptions & Payments
The Service is offered under paid plans. Fees and billing cycles are as presented at purchase or in your account. By subscribing, you authorize us to charge the applicable fees using your selected payment method. Taxes may apply.
7. Service Availability (Uptime)
We guarantee uptime as specified in our Service Level Agreement (SLA). Unless otherwise agreed in writing, our target is 99.9% monthly uptime. Service credits, if any, are provided as outlined in the SLA and constitute your sole remedy for uptime-related issues.
8. Suspension & Termination
We may suspend or terminate access for violations of these Terms, security risks, non-payment, or as required by law. You may terminate at any time as permitted by your plan. Upon termination, we may delete or disable access to your content after a reasonable period, subject to legal retention requirements.
9. Confidentiality & Security
Each party may access the other’s confidential information; both will protect such information with reasonable measures. We implement administrative, technical, and physical safeguards appropriate to the nature of the data processed, leveraging AWS services (including RDS, S3, DynamoDB, OpenSearch).
10. Warranties & Disclaimers
- You represent you have the rights to use and process any content you upload or connect.
- Except for the uptime commitment in Section 7 and as otherwise expressly stated, the Service is provided “as is” and “as available,” without other warranties.
- We disclaim responsibility for errors, omissions, or harms arising from reliance on AI outputs or third-party services.
11. Limitation of Liability
To the maximum extent permitted by law, akaBot will not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or use. Our aggregate liability under these Terms will not exceed the amounts paid by you to akaBot for the Service in the twelve (12) months preceding the event giving rise to the claim.
12. Compliance & Export
You must comply with all applicable laws, including data protection and export control laws. You are responsible for providing legally adequate privacy notices to, and obtaining any necessary consents from, your end users.
13. Governing Law & Disputes
These Terms are governed by the laws of Viet Nam. Any dispute will first be addressed through good-faith negotiations. If unresolved, disputes shall be submitted to the competent courts of Viet Nam. You agree to the jurisdiction and venue of such courts.
14. Changes to the Terms
We may update these Terms from time to time. We will post updates with a revised “Last Updated” date. Continued use after changes constitutes acceptance of the updated Terms.
